General Formation Basis for Texas Filing Entities

Texas Business Organizations Code Title 1, Chapter 3, Subchapter A (‘Formation, Existence, and Certificate of Formation’) establishes the baseline filing requirement that applies to every Texas filing entity, regardless of type. Sec. 3.001 confirms a filing entity’s existence begins when its certificate of formation takes effect; Sec. 3.004 requires one or more organizers; and Sec. 3.005 sets the information every certificate of formation must contain, no matter the entity type.

This Subchapter A baseline is always supplemented, never replaced, by entity-type-specific provisions elsewhere in the Code — e.g., Title 4 for partnerships, Title 7 for professional entities — which add requirements on top of, not instead of, this general basis.
